Sumeet advises clients in the life sciences and technology industries on their most complex commercial transactions and compliance matters.

Sumeet is an intellectual property, technology and life sciences lawyer and a registered Canadian trademark agent. His practice focuses on providing legal and strategic counsel on a broad range of commercial arrangements, including technology, regulatory and intellectual property-related aspects of mergers and acquisitions, intellectual property and technology licensing. He also advises on service agreements as well as joint venture, partnership and research and development agreements. Sumeet also provides counsel on matters relating to privacy compliance and trademark clearance and prosecution.

He has extensive experience providing regulatory, product marketing and compliance counsel to companies in the biopharmaceutical, medical device and digital health industries.

Sumeet began his legal career at the Toronto office of an international law firm where he practiced in the areas of intellectual property, life sciences and technology law. Before joining Davies, he held senior in-house counsel roles at a multinational biopharmaceutical company and a medical technology company.

Acted as Canadian counsel to OUTFRONT Media Inc. in the C$410-million sale of its Canadian outdoor advertising business to Bell Media, a wholly-owned subsidiary of BCE.

Define Capital Inc.

Acted for Define Capital Inc. in its C$20-million fundraising and subsequent acquisition of two Ontario-based software companies.

Wolseley Canada Inc.

Acted for Wolseley Canada Inc., the leading wholesale distributor to plumbing, HVAC/R, waterworks and industrial markets in Canada, in its acquisition of Yorkwest Plumbing Supply Inc., a distributor of building and industrial products in the greater Toronto area.

Bruker Corporation

Acted for Bruker Corporation in its acquisition of Tornado Spectral Systems Inc., a company that provides chemical analysis and measurement systems for Raman spectroscopy primarily used in pharmaceutical, petrochemical, and biotechnology applications. 

Searchlight Pharma Inc.

Acting for the shareholders of Searchlight Pharma Inc., a top-growth Canadian specialty and innovative branded pharmaceutical company, in connection with the sale of their 100% interest to Apotex Inc., Canada’s largest pharmaceutical company.

Grup Mediapro S.L.U.

Acted for Grup Mediapro S.L.U. in a litigation settlement with CSB, LP, culminating in a transaction pursuant to which Mediapro sold its Canadian business, consisting of the OneSoccer Channel, to CSB.

Design World LLC d/b/a WTWH Media, LLC

Acted as Canadian counsel to Design World LLC d/b/a WTWH Media, LLC, a Mountaingate Capital portfolio company, in its acquisition via a wholly owned Canadian subsidiary of substantially all the assets of Engineering.com Incorporated, a media website operator focused on engineering related content.

Aecon Group Inc.

Acted for Aecon Group Inc. in the C$150-million strategic preferred equity investment in Aecon Utilities Group Inc. by funds managed by the Power Opportunities strategy of Oaktree Capital Management, L.P. 

Beanfield Metroconnect

Acted for Beanfield Metroconnect, a portfolio company of DigitalBridge, in securing a strategic equity investment from OMERS Infrastructure.

BMS Group

Acted for BMS Group in its acquisition of Smith & Reid Insurance Brokers and O’Neil Insurance Brokers.

Integrated Media Company

Acted for Integrated Media Company, a TPG platform dedicated to the new media ecosystem, in its C$147.5-million acquisition of Toon Boom Animation Inc., an Emmy® Award-winning Montreal-based animation software company, from Nelvana Limited, a subsidiary of Corus Entertainment Inc.

Industrial and Financial Systems AB

Acted for Industrial and Financial Systems AB in its acquisition of Poka Inc., a Québec-based provider of connected worker platform software.

American Holt, LLC, a portfolio company of Arcline Investment Management

Acted for American Holt, LLC, a portfolio company of Arcline Investment Management, in its acquisition of DMA Solution Inc., a leading engineering company for solutions in the manufacturing of high performance products for the PET plastic container and beverage industries.

Mountaingate Capital

Acted for Mountaingate Capital Management II, L.P. in its strategic investment in Bond Brand Loyalty Group, a leading marketing, customer experience and loyalty software management group.

Sleep Country Holdings Inc.

Acted for Sleep Country Canada Holdings Inc. in its acquisition of the Canadian assets of Casper Sleep Inc.

ShockWave Medical, Inc.

Acted as Canadian counsel to Nasdaq-listed Shockwave Medical, Inc., in its acquisition of Nasdaq- and TSX-listed British Columbia–based Neovasc Inc., for a total transaction value of up to US$147 million consisting of a purchase price per share of cash and a contingent value right.

EcoPro BM

Acting for Korea-based EcoPro BM in its C$1.2-billion joint venture with Ford and SK On to build a cathode manufacturing facility to produce electric vehicle (EVs) battery materials in Bécancour, Quebec.
