Acted for Royal Bank of Canada in connection with the establishment of senior secured “green loan” credit facilities in favour of a subsidiary of the University of Toronto, the proceeds of which will be used to complete deep energy retrofit projects – such as converting gas boilers to electric boilers and installing energy storage solutions – to reduce greenhouse gas emissions by more than 50 per cent, or 45,000 tonnes of CO2 equivalents, by 2030. Plenary Americas

Acted for Avalon Healthcare Partnership, led by Plenary Americas, as the successful consortium for the design, build, finance and maintenance of a new adult mental health and addictions hospital in St. John's, Newfoundland. The project included a 240,000 square foot, six-storey, 102-bed hospital; a parking garage with space for 1,000 vehicles; and a new 60-bed hostel to replace the Agnes Cowan Hostel.

Plenary Group

Acted for Plenary Group in the acquisition of a portfolio of Ontario-based hospitals and long-term care facilities from OMERS Infrastructure. The portfolio included three hospitals (Niagara Health System-St. Catharine's Hospital, the Royal Ottawa Hospital, the William Osler Health Centre) and 12 long-term care facilities that were constructed by OMERS, then Borealis Infrastructure, through separate greenfield developments between 2000 and 2009.

CBHP Limited Partnership

Acted for CBHP Limited Partnership in its approximately $750-million contract to design, build, finance and maintain the Corner Brook Acute Care Hospital Project in Corner Brook, Newfoundland. The new facility will be attached to the Corner Brook Long Term Care Hospital and will be seven storeys, 600,000 square feet and have 164 beds. Over the course of construction, which is expected to be completed in 2023, the Government of Newfoundland and Labrador said it expects an estimated 4,000 person years of employment and $460 million in GDP to be created.

Plenary PCL Properties Gatineau

Acted for Plenary PCL Properties Gatineau on the closing of its contract to design, build, finance, maintain and operate a new preservation facility in Gatineau, Québec. The new preservation facility has a construction cost of approximately $330 million, and is the first "net-zero carbon" facility dedicated to archival preservation in the Americas as well as the first federal building constructed to the requirements of Canada's Greening Government Strategy.

Innovate Energy

Acted for Innovate Energy, a consortium consisting of ENGIE Services Canada, PCL Constructors Canada, PCL Investments Canada and Black & McDonald, in its contract to modernize, maintain and operate the district energy system that heats 80 buildings and cools 67 buildings, including the Parliament buildings, in Canada's capital region. This mandate is part of the Government of Canada's Energy Services Acquisition Program and it will contribute to the Government's goal to reduce its energy consumption and greenhouse gas emissions from its own operations by 40% by 2030.

LA Gateway Partners

Acted for LA Gateway Partners in its approximately US$2-billion contract to design, build, finance, operate and maintain the Los Angeles International Airport (LAX) Consolidated Rent-A-Car Facility (ConRAC) development project. The development of the new facility will consolidate the operations of rental car agencies at LAX, which are currently spread across 23 separate properties surrounding the airport. Comprising 5.3 million square feet, the LAX ConRAC will be the largest ConRAC facility ever built.

Fengate Capital Management

Plenary Justice Abbotsford Limited Partnership

Acted for Plenary Justice Abbotsford Limited Partnership in its approximately $150-million contract to design, build, finance and maintain the Abbotsford Law Courts project in Abbotsford, British Columbia. The new 14-room courthouse will include Provincial Court and Supreme Court courtrooms, as well as judicial conference rooms and space for all necessary justice partners. The courthouse is British Columbia's first new courthouse in 20 years.

Hydroméga Services Inc.

Acted for Hydroméga Services Inc. in the acquisition of Cochrane Power Corporation's Cochrane Power Generating Station, a cogeneration facility equipped with a 30MW natural gas turbine and a 15MW biomass fuelled boiler and steam turbine.

CBCP Limited Partnership

The new facility will include approximately 150 long-term care, palliative and rehabilitative care beds and is expected to commence operations in the spring of 2020. This project is the first significant PPP project to reach commercial close in the Province of Newfoundland and Labrador.

Plenary Health Phase 1C LP

Acted for Plenary Health Phase 1C LP in its approximately $685-million fixed-price contract to design, build, finance and maintain the Centre for Addiction and Mental Health (CAMH) Phase 1C redevelopment project in Toronto, Ontario. The redevelopment project will see the construction of approximately 655,000 square feet of new build space contained in two modern buildings along Queen Street West in Toronto. The project is expected to achieve a Leadership in Energy and Environmental Design (LEED) Gold certification for design excellence and sustainability.

Acted for Plenary Health Vaughan LP in its $1.3-billion fixed-price contract to design, build, finance and maintain the new Mackenzie Vaughan Hospital in Ontario. The Mackenzie Vaughan Hospital will be the first hospital to be built in the city of Vaughan, and the first new hospital to be built in the York Region in the last 30 years. It will also be the first hospital in Canada to feature fully integrated "smart" technology to maximize information exchange.

TransEd Partners consortium

Acted for the TransEd Partners consortium, comprised of Fengate Capital Management Ltd., Bechtel Development Company, Inc., EllisDon Capital Inc. and Bombardier Transportation Canada Inc., in its winning bid in excess of $1.8 billion for the design, build, finance, operation and maintenance of the City of Edmonton's Valley Line Light Rail Transit Project, which is the city's first public-private partnership project. The Valley Line is the largest single infrastructure project in Edmonton's history. Davies acted as lead transaction counsel for the consortium, including in the negotiation of the project documents with the City of Edmonton, the design-build documentation with the design-build contractor (which includes vehicles on this project), the operation and maintenance documentation with the O&M contractor and the financing agreements with the lenders, as well as the shareholder arrangements between the equity investors. The financing included $394-million senior long-term amortizing bonds with final maturity date of September 30, 2050 and a $200-million senior construction period credit facility.

Port City Water Partners consortium

Acted for the Port City Water Partners consortium, comprised of Brookfield Financial Corp., Acciona Agua International, S.L. and North America Construction (1993) Ltd., in its winning bid in excess of $200 million for the design, build, finance, operation and maintenance of the City of Saint John Safe Drinking Water project, which is the city's first public-private partnership project.
